About

A practical tool for modeling venture financing rounds.

I built this tool to make it easier for founders, investors, and their advisors to understand and model the economics of priced venture financing rounds. These transactions involve a number of interconnected variables, and I wanted to create a simple, intuitive way to explore how different terms affect ownership, dilution, and proceeds.

My experience advising clients on venture financings informed the design of this tool, including its approach to privacy. A company’s cap table contains highly sensitive information, and you shouldn’t have to share that information with anyone just to model a financing. That’s why I built this tool so that your data stays on your device. When you import a cap table, you are importing it into the tool that is loaded in your browser. The file is processed locally and all calculations run on your device. Nothing is uploaded to our servers or shared with us. Test it yourself.

The tool reflects common market terms and structures, but every transaction is unique, and it is not a substitute for legal advice.
